  • This was a dispute about the Registrar of Companies agreeing to register a charge against company P. S.98(2) of the Companies Act made the certificate of the Registrar conclusive.

  • HL held that it therefore precluded the court, notwithstanding that the proceedings were proceedings for judicial review, from considering evidence adduced to show that the requirements as to registration had not been complied with.
